Canadian business owners, if you are in discussions with an interested party who is investigating your business with respect to a potential acquisition or investment in the company, you will probably need to provide certain confidential information as part of their investigation and due diligence review.
Protect your sensitive confidential and proprietary information by having the potential investor sign this Confidentiality Agreement prior to releasing any such information. The Agreement also includes a no solicitation clause, under which the investor agrees not to solicit either your customers or employees.
